1. Acceptance of Terms

By accessing or using the services provided by Something Unique Hosting LLC ("Company," "we," "us," or "our"), located at the website suhosting.net, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms, together with our Privacy Policy, govern your use of our services.

2. Services & Eligibility

  • 2.1 Nature of Service: We provide game server hosting and Virtual Dedicated Server (VDS) solutions, along with related services.
  • 2.2 Eligibility: You must be at least 18 years of age to register for and use our services. By signing up, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
  • 2.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your password.
  • 2.4 Verification: You agree to provide a valid email address and accurate contact information during registration. We reserve the right to verify your identity at any time and to request additional documentation before providing or continuing service.

3. Acceptable Use Policy (AUP)

You agree not to use our services for any unlawful or prohibited activity. Violation of this section may result in immediate suspension or termination without refund. Prohibited activities include, but are not limited to:

  • Network Abuse: DDoS attacks, botnets, port scanning, IP spoofing, operating stress-testing or "booter/stresser" services, or any activity that disrupts our network or other networks.
  • High Resource Abuse: Using shared resources in a manner that degrades performance for other users or causes instability in our infrastructure.
  • Illegal Content: Hosting, distributing, or linking to child sexual abuse material (CSAM), unlicensed copyrighted material (warez), or content that promotes violence or terrorism.
  • Malicious Software: Hosting or distributing malware, viruses, trojans, spyware, or tools designed to circumvent security.
  • Phishing/Spam: Sending unsolicited bulk email (SPAM) or hosting phishing sites.
  • Cryptocurrency Mining: Running cryptocurrency miners or mining pools on any service, except on dedicated resources where explicitly permitted in writing.
  • Anonymization Services: Operating Tor exit nodes, open proxies, or public VPN endpoints.
  • Game-Related Abuse: Hosting pirated or unlicensed game servers, servers that distribute cheats or hacks, or servers modified to circumvent game licensing or anti-cheat systems.

We reserve the right to determine, in our sole discretion, whether use of our services violates this AUP.

4. Payment & Billing

  • 4.1 Billing Models: We offer services on one-time, recurring (subscription), and usage-based billing cycles. All fees are stated and charged in U.S. Dollars (USD).
  • 4.2 Authorization: By adding a payment method, you authorize us to charge the applicable fees automatically on a recurring basis until you cancel.
  • 4.3 Taxes: Stated prices do not include applicable taxes. You are responsible for all sales, use, value-added, or similar taxes arising from your use of the services, except for taxes based on our net income.
  • 4.4 Failed Payments: If a payment fails, we will attempt to notify you by email. You have a 7-day grace period from the original due date to resolve payment, after which we may suspend your service. Services not restored within 14 days of the original due date may be terminated and the associated data subject to the retention policy in Section 8.
  • 4.5 Chargebacks: Initiating a chargeback without first contacting us to resolve the issue is grounds for immediate termination of all services on your account. You agree to reimburse us for any chargeback fees we incur, and we reserve the right to collect outstanding balances and fees through any lawful means.
  • 4.6 Price Locking (Grandfathering): We guarantee that the price of your active service will remain locked at the rate you signed up for as long as the subscription remains active and in good standing. Future price increases will only apply to new service orders or new customers. This guarantee does not apply where we must adjust pricing due to significant changes in underlying costs, taxes, or regulatory requirements; in such cases we will provide at least 60 days' notice before any change takes effect.

5. Refund Policy

  • 5.1 Standard Refund: We offer a 14-day money-back guarantee for new services. If you are not satisfied, you may request a full refund within 14 days of your initial payment.
  • 5.2 After 14 Days: Refund requests submitted after the initial 14-day period are granted solely at our discretion and reviewed on a case-by-case basis.
  • 5.3 Non-Refundable Situations: Refunds are not available for domain registrations, third-party software licenses, or accounts terminated due to a violation of our Acceptable Use Policy (Section 3).
  • 5.4 Processing: Approved refunds will be issued to the original payment method within 5–10 business days of approval.

6. Service Level Agreement (SLA)

  • 6.1 Uptime Commitment: We target 99.9% monthly uptime for our game servers and VDS services, as measured at our network edge.
  • 6.2 Service Credits: If monthly uptime for your service falls below 99.9% due to a failure on our end, you may request a service credit, applied to a future invoice:
    • 99.0% – 99.89% uptime: 10% of the monthly fee for the affected service
    • 95.0% – 98.99% uptime: 25% of the monthly fee for the affected service
    • Below 95.0% uptime: 50% of the monthly fee for the affected service
  • 6.3 Credit Requests: Credit requests must be submitted in writing to admin@suhosting.net within 30 days of the end of the affected month and must include the service ID and approximate downtime periods.
  • 6.4 Exclusions: The SLA does not apply to downtime caused by: (a) scheduled maintenance announced at least 48 hours in advance; (b) emergency maintenance required to address a security or stability issue; (c) customer actions, misconfiguration, or use exceeding plan resources; (d) failures of third-party services, networks, or infrastructure outside our direct control; (e) DDoS attacks or other malicious traffic directed at your service; (f) force majeure events as described in Section 16.
  • 6.5 Sole Remedy: Service credits are your sole and exclusive remedy for any failure to meet the SLA. Total credits in any month will not exceed 100% of that month's fees for the affected service.

7. Backups

  • 7.1 Customer Responsibility: You are solely responsible for maintaining backups of your data, configurations, and game saves. We strongly recommend that you maintain independent off-site backups.
  • 7.2 Our Backups: Any backups we perform are for our own operational purposes and are provided on a best-effort basis. We do not guarantee the availability, integrity, or recoverability of any backup, and we are not liable for lost data.

8. Suspension, Termination & Data Retention

  • 8.1 Cancellation by You: You may cancel your service at any time via your account dashboard.
  • 8.2 Termination by Us: We reserve the right to suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
  • 8.3 Suspended Services: If your service is suspended (for non-payment, AUP review, or other reasons), we will retain your server data for 100 days from the date of suspension. If the service is not reinstated within that period, all associated data will be permanently deleted and cannot be recovered.
  • 8.4 Cancelled Services: Upon cancellation — whether by you or by us — data associated with the cancelled service will be permanently deleted within 72 hours of cancellation confirmation. You are responsible for retrieving any data you wish to keep before cancelling.
  • 8.5 User Account: Your user account profile will remain active unless you explicitly request its deletion or it is terminated by us.

9. Intellectual Property

  • 9.1 Our IP: The content, organization, graphics, design, compilation, and other matters related to our website and brand ("Something Unique Hosting") are protected under applicable copyrights and trademarks. You may not copy or redistribute our intellectual property without our prior written consent.
  • 9.2 Your Content: We claim no intellectual property rights over the material you provide to the service. Your data, game saves, and uploaded files remain yours. You grant us a limited, non-exclusive, worldwide license to access, store, and process this content solely for the purpose of providing the service to you.

10. DMCA and Copyright Policy

  • 10.1 Notification: We respond to valid notices of alleged copyright infringement pursuant to the Digital Millennium Copyright Act ("DMCA"). If you believe content hosted on our service infringes your copyright, you may submit a DMCA notice to our designated agent. Your notice must include all elements required under 17 U.S.C. § 512(c)(3), including: identification of the copyrighted work; identification of the allegedly infringing material and its location; your contact information; a good-faith-belief statement; a statement of accuracy under penalty of perjury; and your physical or electronic signature.
  • 10.2 Designated Agent: DMCA notices may be sent to admin@suhosting.net with the subject line "DMCA Notice."
  • 10.3 Counter-Notice: If you believe your content was removed or disabled in error, you may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g).
  • 10.4 Repeat Infringers: We will terminate the accounts of users who are determined to be repeat infringers.

11. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our services, you consent to our Privacy Policy.

12. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6 (SLA), THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SOMETHING UNIQUE HOSTING LLC EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOMETHING UNIQUE HOSTING LLC, ITS AFFILIATES, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Something Unique Hosting LLC, its affiliates, members, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you host, upload, or transmit through the service.

15. Modifications to the Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email and/or through a notice in your account dashboard at least 30 days before the changes take effect. Non-material changes (such as clarifications or formatting) take effect upon posting. Your continued use of the service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cancel your service before the effective date.

16. Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, power or internet outages, failures of third-party providers or upstream networks, DDoS attacks, or pandemic.

17. Governing Law and Dispute Resolution

  • 17.1 Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.
  • 17.2 Exclusive Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction and venue of those courts.
  • 17.3 Informal Resolution: Before filing a claim, we encourage you to contact us at admin@suhosting.net to attempt to resolve the dispute informally.

18. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

20. Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it later.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Something Unique Hosting LLC regarding the service and supersede all prior agreements and understandings, whether written or oral.
